The Essential Sections
Every UGC contract needs these 10 sections. Skip any of them, and you're leaving yourself exposed.
1. Parties and Dates
Who's making this agreement?
Include:
- Your legal name (or business name)
- Client's company name and legal entity
- Effective date
- Project name/reference (optional but helpful)

2. Scope of Work
What exactly are you delivering?
Include:
- Number of deliverables
- Content type (video, photo, etc.)

- Platform(s)
- Key requirements or talking points

- vertical videos (9:16 aspect ratio, 1080x1920)

3. Timeline

4. Revisions
How many changes are included?
Include:
- Number of revision rounds

A revision is feedback on existing content. Complete re-shoots or concept changes are new deliverables.
Client must provide consolidated written feedback within [X] business days.

5. Payment Terms
When and how do you get paid?
Include:
- Total compensation
- Payment schedule (upfront, milestones, on delivery)
- Payment method
- Due date
- Late fee policy

7. Content Ownership
Who owns what?
Include:
- Who owns the final content
- Who owns raw footage
- Creator's right to use in portfolio
- What happens to unused content

- Creator may use final Content in their portfolio and social media.
- Unused concepts and drafts remain Creator's property.
8. Kill Fee
What happens if the project is cancelled?
Include:
- Compensation at each cancellation stage
- Content rights upon cancellation

If Client terminates this agreement:
- Before work begins: No fee due
- After work begins, before draft: [X]% of total fee
- After draft delivery: [X]% of total fee
- After final delivery: 100% of total fee
Upon cancellation, Client receives no license to any content unless full payment is made.
9. Exclusivity
Are there restrictions on working with competitors?
Include:
- Duration of exclusivity (if any)
- Definition of competitors
- Additional compensation for extended exclusivity
